The integration will result in a new entity, Carlsberg Britvic, signifying a strategic expansion into the global beverage industry.
The approval was sanctioned by Mr Justice Hildyard in a brief hearing Wednesday, emphasizing that the proposed scheme of arrangement 'could be and should be approved'.
This acquisition will see Britvic absorbed by Carlsberg UK Holdings Limited, a wholly-owned subsidiary of Carlsberg A/S, amidst a backdrop of industry consolidation.
Britvic, described by Andrew Thornton KC on behalf of the company, stands as a dominant player in Great Britain’s soft drinks sector, holding the title of the largest supplier of branded still soft drinks and the second-largest supplier of carbonated varieties.
The deal aligns with Britvic shareholders, who endorsed the transaction last August, and was further legitimized by the Competition and Markets Authority's clearance the following December.
Carlsberg plans to amalgamate its operations with Britvic, aiming to achieve £100 million annually in cost efficiencies.
This strategic move comes alongside Carlsberg's simultaneous decision to acquire complete control over its joint venture with Wolverhampton-based Marston's for £206 million, a move expected to enhance its beer portfolio with brands such as Pedigree and Hobgoblin.
An integral component of Britvic's portfolio is its licensing agreement with PepsiCo, permitting the production and sale of popular brands like Pepsi, 7up, and Lipton Ice Tea within the UK. Notably, this arrangement will persist post-takeover, ensuring continuity in business operations and consumer offerings.
Carlsberg, globally recognized as one of the largest international brewing groups with a market capitalization of approximately 118 billion Danish kroner (£13 billion), is strategically positioning itself to diversify and strengthen its foothold in the competitive beverage market.
The directors of Britvic unanimously recommended the scheme, reinforcing confidence in the merger's advantage to both entities without adverse effects on the company’s creditors.
This merger is a significant development in the beverage industry, reflecting broader trends of consolidation within the global market.
It marks a pivotal moment for both companies, potentially reshaping the competitive landscape and opening new opportunities for growth and innovation in the drinks sector.
